SELL-SIDE DILIGENCE ASSESSMENT
Maximize your valuation with the right tech position and trajectory story
Kickdrum Sell-Side Diligence doesn’t only pique a buyer’s interest – it also identifies and remediates gaps to defend your point of view from buy-side scrutiny.
WHAT TO EXPECT
Are you seeking investment, acquisition, or divestiture of a portfolio company? Is your technology strategy, implementation, and trajectory aligned with current market drivers and investor interests? Kickdrum Sell-Side Assessment develops current state and trajectory narratives across your technology, infrastructure, product development, operations, security, and privacy.
HOW IT WORKS
Kickdrum Sell-Side Diligence Assessments are generally delivered in two phases:
Phase 1
Kickdrum helps you develop your long term financial forecast and associated assumptions, specifically targeted cost reduction opportunities and professional services timing/costs.
Focus is on data, issues, and insights that can be gathered with little or no need for management time.
Kickdrum reviews current documents and identifies those that will need to be created in the next phase.
Kickdrum reviews any past diligence materials as well as technical materials demonstrating progress against technology efforts, hosting environments, and physical/virtual infrastructure.
Time required from management is kept to a minimum, limited to approximately 4-6 hours
Phase 2
Kickdrum conducts detailed interviews to understand current state and trajectory, asking questions and validating assumptions created during the previous phase.
Kickdrum requests additional information required to complete the activities and assist in the creation of critical documents, including product architecture, product and engineering team processes, organizational structure, and incentive structures.
Kickdrum synthesizes the technical research and interviews to provide insight into progress against technology efforts, as well as the opportunities and risks with the current state approaches.
Kickdrum supports the creation of sell-side narrative and slide deck, participates in buyer-led diligence interviews, participates in data room preparation, and coaches leadership throughout the diligence process.
Time required from management will vary but is expected to be between 12 and 24 hours
